Company books

Your company's books, up to date and paperless

Shareholders' and board minutes and the shareholder register in digital form: the minutes come from the meeting recorded on the phone, are signed with a digital signature, and each folio is chained to the previous one.

Who must keep them?

Costa Rica

  • Corporation (S.A.): shareholders' meeting minutes, board minutes and the shareholder register.
  • Limited liability company (S.R.L.): members' meeting minutes and the members' register.
  • Commercial Code, articles 252 and 263, and the National Registry regulation on the legalization of company books, which allows them on paper or in digital form with a digital signature.

Colombia

  • Minute book of the shareholders' or members' meeting and the shareholder register, registered with the chamber of commerce.
  • They may be electronic (Commercial Code, art. 56; Decree 1074 of 2015), with a digital signature and time stamp.

How it works

  1. Legalization number. In Costa Rica, look it up for free with the company ID at CrearEmpresa. If the company doesn't have one, the legal representative requests it on CrearEmpresa with their digital signature, or through a notary.
  2. Open the book in FoliFast. The book type and volume go on the first page and the legalization number on the first folio. If you are coming from a paper book, you continue with the next minute number.
  3. Record the meeting with FoliFast Mobile, after reading the notice and with everyone's consent. Speech becomes text on the phone, with who said what.
  4. FoliFast drafts the minutes: attendees, quorum, majorities by company type and resolutions. You review and correct them.
  5. Digital signatures of those required by law (for example, chair and secretary). The minutes are numbered and carry the hash of the previous ones: if anyone changes, removes or reorders a minute, it shows.

Why digital

Never lost or damaged

A lost paper book has to be replaced through a notary and the Registry. Digital books are backed up like any file.

Sign from wherever you are

Each signer uses their digital signature, without passing the book around.

Anyone can verify it

An auditor or a bank can check for free that no minute was changed.
